HuddlBase Terms of Service
These terms explain the rules for business use of the HuddlBase web platform and the protections that apply to the service, customer data, and HuddlBase property.

1. Agreement Structure
These Terms govern access to HuddlBase unless a signed order form, master services agreement, data processing addendum, or customer agreement says otherwise. If there is a conflict, the signed agreement controls for that customer.
HuddlBase is intended for business use by organizations and their authorized users. A person using HuddlBase for a company represents that they have authority to bind that company or are using the service under that company's authorization.
2. Account Eligibility And Access Control
- Users must provide accurate account information and keep credentials confidential.
- Customers are responsible for approving, removing, and reviewing authorized users in their company workspace.
- Accounts may not be shared, sold, transferred, or used by anyone other than the assigned authorized user.
- HuddlBase may suspend or restrict access if credentials are compromised, access is unauthorized, or continued access creates security, legal, operational, or abuse risk.
3. Acceptable Use And Abuse Prohibitions
Customers and users may not misuse HuddlBase or use it to harm HuddlBase, its customers, its infrastructure, or any third party.
- No unauthorized access, cross-company access probing, privilege escalation, credential stuffing, password spraying, vulnerability exploitation, or attempts to bypass authentication, authorization, rate limits, or monitoring.
- No reverse engineering, decompiling, scraping, bulk extraction, automated harvesting, benchmarking for competitive purposes, or copying platform design, workflows, data model, source code, or proprietary materials except where expressly permitted by law.
- No uploading malware, malicious code, exploit payloads, ransomware, spyware, tracking tools, destructive files, or content designed to interrupt, overload, or degrade the service.
- No use that infringes, misappropriates, steals, or attempts to claim HuddlBase intellectual property, customer data, third-party intellectual property, confidential information, trade secrets, or proprietary business information.
- No harassment, threats, illegal discrimination, doxxing, impersonation, fraud, spam, phishing, deceptive activity, or unlawful surveillance.
- No regulated, sensitive, or high-risk data unless HuddlBase has expressly agreed in writing to support that data type and the required controls are active.
- No stress testing, penetration testing, automated scans, load tests, or security research against HuddlBase without prior written authorization and agreed scope.
4. Customer Data And Ownership
As between HuddlBase and the customer, the customer owns its Customer Data. Customer Data includes company content submitted into the workspace, such as requests, comments, attachments, locations, member records, and operational metadata.
The customer grants HuddlBase the limited rights needed to host, process, transmit, secure, support, troubleshoot, and improve the service. HuddlBase does not acquire ownership of Customer Data by providing the service.
HuddlBase owns the platform, software, documentation, workflows, designs, templates, inventions, trade secrets, marks, and service improvements. Feedback may be used by HuddlBase without restriction or payment, but HuddlBase will not disclose Customer Data as feedback.
5. Customer Responsibilities
- Maintain lawful authority to submit and process Customer Data.
- Avoid submitting sensitive personal information, payment card data, health data, payroll data, government identifiers, or other regulated data unless a signed agreement permits it.
- Configure user access according to least privilege and promptly remove users who no longer need access.
- Notify HuddlBase promptly of suspected unauthorized access, credential compromise, data exposure, or misuse.
- Use the service only in compliance with applicable law, employment policies, privacy notices, records retention duties, and internal approvals.
6. Confidentiality
Non-public product information, security materials, pricing, roadmaps, customer data, platform architecture, credentials, and business information are confidential. Each party must protect the other party's confidential information using reasonable care and may use it only for the relationship.
7. Security, Availability, And Support
HuddlBase is designed with company-scoped access controls, protected routes, and backend authorization boundaries. Security controls are described on the Security page and may change as the product matures.
Unless a signed agreement states otherwise, HuddlBase does not promise uninterrupted service, specific uptime, formal support response times, or error-free operation. Customer workspaces may include planned maintenance, limited feature availability, and operational constraints.
8. Billing, Trials, Taxes, And Cancellation
If paid V1 billing is enabled for a customer, HuddlBase uses a 12-month commercial commitment billed monthly unless a signed agreement says otherwise. A monthly invoice does not mean the commitment can be ended at the next monthly billing date.
A 7-day trial may convert to a paid 12-month monthly-billed commitment unless it is cancelled before the trial ends, as disclosed during onboarding or in the applicable order terms.
- Customers must provide accurate billing and tax-location information before paid activation. Taxes may apply.
- Early cancellation may require payment of the remaining committed months unless HuddlBase approves an exception or a signed agreement says otherwise.
- For V1, cancellation and billing changes are support-managed and there is no self-serve billing-change flow; any future self-serve cancellation controls will not override the 12-month commitment.
- Refunds are not provided except for verified product failure HuddlBase cannot reasonably resolve, where required by law, or where a signed agreement provides a different rule.
9. Suspension And Termination
- HuddlBase may suspend or terminate access for security risk, abusive use, unauthorized access, legal risk, non-payment where applicable, violation of these Terms, or use that could harm another customer or the service.
- Upon termination, Customer Data handling will follow the applicable agreement, retention schedule, legal obligations, backup limitations, and security requirements.
- Sections on confidentiality, ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and data retention survive termination as appropriate.
10. Third-Party Services
HuddlBase uses third-party infrastructure and service providers to host, secure, monitor, and operate the platform. Third-party services may have their own terms and availability limits. HuddlBase is not responsible for customer-managed third-party systems or integrations unless expressly agreed.
11. Disclaimers
Except as expressly stated in a signed agreement, HuddlBase is provided on an as-is and as-available basis. HuddlBase disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation to the maximum extent permitted by law.
HuddlBase is not a payroll, legal, accounting, HR compliance, emergency response, telematics, medical, financial, or labor-law compliance system unless a signed agreement expressly states otherwise.
12. Liability Limits And Indemnity
To the maximum extent permitted by law, HuddlBase is not liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, business interruption, or data-loss damages arising from use of the service.
A signed agreement may define additional liability limits, indemnity obligations, governing law, venue, dispute-resolution terms, statutory exceptions, and customer-specific terms. If a signed agreement conflicts with these Terms, the signed agreement controls for that customer.
13. Changes And Contact
HuddlBase may update these Terms as the service matures. Material changes should be communicated before they apply to active customers unless urgent changes are needed for security, legal, or abuse-prevention reasons.
